Welcome to ZenConsl, an AI-powered coding editor and developer tool provided by Zenstrin Technologies Inc. (“Zenstrin,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your access to and use of ZenConsl, including our website, desktop application, AI coding tools, APIs, documentation, and related services collectively referred to as the “Service.”

By using ZenConsl, you agree to these Terms. If you do not agree, do not use the Service.

Please also read our Privacy Policy, which explains how we collect and use personal information.

1. The Service

ZenConsl is an AI-powered coding editor that helps developers write, understand, debug, refactor, summarize, and manage code.

The Service may provide:

  • AI-generated code suggestions.
  • Code explanations.
  • Debugging help.
  • File summaries.
  • Project context analysis.
  • Terminal or command suggestions.
  • Refactoring assistance.
  • Automated edits.
  • Agentic coding features.
  • Other developer productivity tools.

ZenConsl is intended to assist developers, not replace professional judgment.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to use ZenConsl.

By using the Service, you represent that you meet this requirement and that your use of the Service complies with applicable law.

3. Accounts

You may need an account to use certain features.

You agree to provide accurate, complete, and up-to-date information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Inputs and Outputs

You may submit prompts, code, files, commands, logs, documentation, errors, project context, and other materials to the Service (“Inputs”).

The Service may generate code, explanations, suggestions, edits, commands, summaries, or other responses (“Outputs”).

Together, Inputs and Outputs are referred to as “Content.”

You are responsible for your Inputs and for ensuring that you have the rights and permissions necessary to submit them to ZenConsl.

You are also responsible for reviewing, testing, and validating Outputs before using them.

5. AI-Generated Suggestions

ZenConsl uses artificial intelligence and machine learning systems. You understand and agree that Outputs may:

  • Be inaccurate, incomplete, insecure, or misleading.
  • Contain bugs or vulnerabilities.
  • Fail to follow best practices.
  • Suggest commands that may modify, delete, or damage files or systems.
  • Be similar or identical to outputs generated for other users.
  • Include outdated or incorrect information.
  • Not be suitable for production use without review.

You are solely responsible for evaluating Outputs and deciding whether and how to use them.

You should not rely on ZenConsl as the sole source of truth for legal, financial, medical, security-critical, or safety-critical decisions.

6. Auto-Execution and Agentic Features

ZenConsl may include features that can suggest, edit, create, delete, or execute code, commands, files, or workflows.

If you enable or use any auto-execution, agentic, terminal, file-editing, or autonomous feature, you accept the risks associated with such use.

You are responsible for:

  • Reviewing actions before approval where possible.
  • Maintaining backups.
  • Using version control.
  • Testing changes before deployment.
  • Protecting secrets, credentials, and production systems.
  • Monitoring the impact of any AI-generated or AI-executed action.

Zenstrin is not responsible for loss of code, data, revenue, business opportunity, system availability, or other damage caused by your use of AI-generated suggestions or automated features.

7. Model Training

Unless we clearly state otherwise or you explicitly opt in, Zenstrin does not use your private Inputs, private code, files, or Outputs to train our own AI models or third-party AI models.

We may process Content as needed to provide the Service, enforce these Terms, maintain safety and security, debug issues, comply with law, and respond to support requests.

If you intentionally submit feedback, bug reports, or support materials, we may use that information to improve the Service.

8. Token-Based Pricing and Payments

ZenConsl uses a token-based pricing model.

You may purchase or top up tokens, credits, or usage balance in your account. Tokens may then be consumed when you use paid features, including AI requests, model usage, agents, file analysis, or other usage-based functionality.

8.1 Token Usage

Token usage may vary depending on:

  • The model used.
  • Input size.
  • Output size.
  • Project context size.
  • Number of files analyzed.
  • Tool calls or agent actions.
  • Feature type.
  • System overhead required to operate the Service.

You are responsible for monitoring your usage and balance.

8.2 Pricing

We may publish pricing information in the Service or on our website. We may change prices, token rates, model rates, included features, or usage rules from time to time.

Where reasonable, we will provide notice of material pricing changes before they take effect.

Your continued use of the Service after pricing changes take effect means you accept the updated pricing.

8.3 Top-Ups

When you top up your account, you authorize us or our payment processor to charge your selected payment method.

Top-ups are not subscriptions and do not automatically renew unless we separately offer and you enable an auto-top-up feature.

8.4 No Subscription

ZenConsl does not currently operate on a subscription model. You pay by topping up tokens or credits, which are consumed based on your usage.

If we introduce subscriptions, auto-top-ups, or recurring billing in the future, we will provide applicable terms and disclosures.

8.5 Refunds

Unless required by law or expressly stated in the Service, token purchases and top-ups are non-refundable once purchased.

We may, at our discretion, provide refunds, credits, or adjustments in cases of billing errors, technical failures, duplicate charges, fraud, or exceptional circumstances.

Used tokens are generally non-refundable.

8.6 Expiration

Unless stated otherwise in the Service, purchased tokens do not expire. However, we reserve the right to expire promotional, free, trial, bonus, or test tokens.

We may also close or suspend inactive, fraudulent, or abusive accounts in accordance with these Terms.

8.7 Taxes

You are responsible for any taxes, duties, levies, or similar charges associated with your use of the Service, except taxes based on our net income.

9. Acceptable Use

You may not use ZenConsl to:

  • Violate any law or regulation.
  • Infringe, misappropriate, or violate intellectual property, privacy, or other rights.
  • Upload or process content you do not have the right to use.
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except where prohibited by law.
  • Use the Service to build, train, or improve a competing AI coding product or model without our permission.
  • Perform model extraction, scraping, automated harvesting, or abuse of the Service.
  • Probe, scan, or test the vulnerability of the Service without authorization.
  • Interfere with or disrupt the Service.
  • Bypass rate limits, access controls, billing systems, or usage restrictions.
  • Share your account or tokens in a way that violates these Terms.
  • Use the Service to generate malware, phishing content, credential theft tools, exploit code, or other harmful content.
  • Upload secrets, credentials, regulated data, or highly sensitive information unless you are authorized to do so and accept the associated risks.
  • Use the Service for safety-critical systems without appropriate human review, testing, and safeguards.

We may suspend or terminate accounts that violate these rules.

10. Ownership

10.1 The Service

Zenstrin and its licensors own all rights, title, and interest in the Service, including software, design, technology, branding, models, systems, documentation, and intellectual property.

These Terms do not grant you ownership of the Service.

10.2 Your Inputs

You retain ownership of your Inputs.

You grant Zenstrin the rights necessary to process your Inputs to provide, maintain, secure, and improve the Service as described in these Terms and our Privacy Policy.

10.3 Outputs

To the extent permitted by law and subject to your compliance with these Terms, Zenstrin assigns to you any rights we may have in Outputs generated specifically for you.

However, you understand that AI-generated Outputs may not be unique, and similar or identical outputs may be generated for other users.

You are responsible for determining whether Outputs are suitable for your use and whether they infringe any third-party rights.

10.4 Feedback

If you provide feedback, suggestions, ideas, or recommendations, you grant Zenstrin a worldwide, royalty-free, perpetual, irrevocable right to use that feedback without restriction or compensation.

11. Confidentiality and Sensitive Information

You should avoid submitting highly sensitive information to ZenConsl unless necessary.

This includes:

  • Passwords.
  • API keys.
  • Private keys.
  • Access tokens.
  • Production secrets.
  • Personal data you do not have permission to process.
  • Regulated health, financial, or legal information.
  • Government-classified information.
  • Export-controlled information.

You are responsible for ensuring that your use of ZenConsl complies with your company policies, client obligations, confidentiality duties, and applicable laws.

12. Third-Party Services

ZenConsl may use or integrate with third-party services, including AI model providers, cloud providers, code hosting platforms, extension marketplaces, payment processors, analytics providers, and developer tools.

Your use of third-party services may be subject to separate terms and privacy policies.

Zenstrin is not responsible for third-party services.

13. Beta and Experimental Features

We may offer beta, experimental, preview, or early-access features.

These features may be unstable, incomplete, inaccurate, or discontinued at any time.

Beta features are provided “as is” and “as available,” without warranties or guarantees.

You use beta features at your own risk.

14. Support

We may provide support through email, documentation, community channels, or in-product tools.

We are not obligated to provide any specific level of support unless we separately agree in writing.

15. Service Changes

We may modify, suspend, limit, or discontinue any part of the Service at any time.

This may include changing models, features, pricing, token rates, usage limits, availability, or supported platforms.

We are not liable for modifications, suspensions, or discontinuation of the Service.

You should maintain your own backups of code, files, and important project data.

16. Suspension and Termination

You may stop using ZenConsl at any time.

We may suspend or terminate your access if:

  • You violate these Terms.
  • Your use creates security, legal, or operational risk.
  • Your payment fails or is reversed.
  • We suspect fraud, abuse, or unauthorized access.
  • We are required to do so by law.
  • The Service is discontinued.

Upon termination, your right to use the Service ends immediately.

We may delete account data and Content associated with your account, subject to our legal and operational retention needs.

17. Copyright and IP Complaints

If you believe content on ZenConsl infringes your intellectual property rights, contact us at support@zenstrin.com.

Please include:

  • Your name and contact information.
  • A description of the copyrighted work or intellectual property.
  • A description of where the allegedly infringing material is located.
  • A statement that you have a good-faith belief the use is unauthorized.
  • A statement that the information you provide is accurate.
  • Your physical or electronic signature.

We may remove or disable access to allegedly infringing content and may terminate repeat infringers.

18. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, ZENSTRIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED OR SECURE.
  • OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE, OR ERROR-FREE.
  • AI-GENERATED CODE WILL WORK AS INTENDED.
  • THE SERVICE WILL IDENTIFY ALL BUGS, VULNERABILITIES, OR RISKS.
  • ANY DEFECTS WILL BE CORRECTED.

YOU USE ZENCONSL AT YOUR OWN RISK.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZENSTRIN TECHNOLOGIES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CODE, BUSINESS OPPORTUNITY, OR SYSTEM AVAILABILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO ZENSTRIN FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • USD $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Zenstrin Technologies Inc., its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Your Inputs.
  • Your use of Outputs.
  • Your violation of law.
  • Your violation of third-party rights.

21. Consumer Rights

Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

If you are a consumer in the United Kingdom, European Economic Area, or another jurisdiction with mandatory consumer rights, certain refund, cancellation, warranty, liability, or dispute provisions may apply despite anything else in these Terms.

Where required by law, you may have a right to cancel a digital service purchase within a specified period. However, where you request immediate access to digital content, tokens, or usage-based services and begin using them, you may lose cancellation rights or may only be entitled to a partial refund for unused amounts, depending on applicable law.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

If you are a consumer in a jurisdiction where local law requires different governing law or venue protections, those mandatory protections will continue to apply.

23. Dispute Resolution

Before bringing a formal claim, you agree to first contact us at support@zenstrin.com.

We will try to resolve the dispute informally.

If we cannot resolve the dispute informally, disputes will be handled in the courts located in Delaware, United States, unless applicable law requires otherwise.

You and Zenstrin agree to bring claims only on an individual basis and not as part of a class, collective, consolidated, or representative action, to the fullest extent permitted by law.

24. Export Controls and Sanctions

You must comply with all applicable trade, sanctions, and export control laws.

You may not use ZenConsl if you are located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive sanctions, or if you are a person or entity with whom transactions are prohibited under applicable trade laws.

You may not use the Service for prohibited military, nuclear, chemical, biological, missile, surveillance, or other restricted end uses.

25. Changes to These Terms

We may update these Terms from time to time.

When we do, we will update the “Last updated” date at the top of this page. If changes are material, we may notify you by email, in-product notice, or other reasonable means.

Your continued use of ZenConsl after changes become effective means you accept the updated Terms.

26. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, form the entire agreement between you and Zenstrin regarding the Service.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.
